Capital advisory to the owner in the sale process of shares in the company Grupa Nowy Szpital sp. z o.o. – the largest private hospital chain in Poland.

We have pleasure in informing you of the completion of the sale transaction of a 25% shareholding in the company Grupa Nowy Szpital Sp. z o.o. (GNS) – the largest private hospital chain in Poland. The shareholding sold belonged to Adam Roślewski, founder and hitherto owner of 50% of the company’s shares. The buyer is Marcin Szulwiński, co-owner. The purchaser structured the transaction as a management buy-in (MBI).

The transaction was financed entirely by a corporate bonds fund managed by Credit Value Investments. The transaction agreement envisages the potential sale of the remaining 25% shareholding, through alternative exit routes including a public offering (IPO). The parties have decided not to disclose the transaction value.

Holon was the transaction advisor to the selling party through the investor selection process, which also included discussions with trade investors and private equity funds.

This is the latest successfully completed capital transaction managed by Holon for GNS, after our team secured expansion financing in 2014 for the company, in the amount of 40 mln PLN, from the European Bank for Reconstruction and Development.

Grupa Nowy Szpital (GNS) www.nowyszpital.pl  is the biggest chain of private hospitals in Poland, and provides services under the national insurance system. It manages 13 hospitals located in western and southern Poland. In 2015 the company’s sales revenue totaled 270 mln PLN, and normalised profit EBITDA came to 18 mln PLN. Over 90% of the company’s hospitals’ revenues come from public finances. GNS offers comprehensive medical care: from general healthcare, through specialist testing and advice, to hospital treatment. The company also manages emergency services, specialist out-patient services, general healthcare clinics, school infirmaries, treatment centres for child and youth addictions and care and treatment institutions. Currently the company’s branches provide healthcare to nearly 650 thousand residents of the Lubuskie, Kujawsko-Pomorskie, Małopolskie and Warmińsko-Mazurskie voivods.
