Holon Consultants, as the transaction adviser to the international telecommunications operator, Swisscom Central & Eastern Europe AG, finalised the sale of its Polish subsidiary - Air Bites Polska Sp. z o.o., a provider of broadband Internet access services. The transaction is the result of a strategic decision of Swisscom's management board to exit from Poland and concentrate its investments on the Ukrainian, Bulgarian and Romanian markets.

The purchaser of 100% of the shares in Air Bites Polska Sp. z o.o., of a total nominal value of PLN 28,859,500, is Internetia Sp. z o.o. - a subsidiary of Netia S.A. The transaction value was PLN 21.6 million. "Because of the close of the transaction with Swisscom Central & Eastern Europe, I now estimate that 2008 will be a very good year for Netia. We managed to not only increase EBITDA to PLN 160 M, but also to exceed 400,000 broadband Internet customers," said Mirosław Godlewski, President of Netia's management board.

Holon Consultants held the role of transaction adviser to Swisscom in the process of selling Air Bites Polska, which included the preparation of the offering, the identification of investors, holding negotiations, as well as structuring and handling the transaction. The seller's legal advisor in the transaction process was the Allen & Overy, A. Pędzich Sp. k. law office.
