Capital advisory in the sale process of ZIPP Skutery sp. z o.o. – no. 2 marketer and distributor of scooters and mopeds in Poland.
Acting on behalf of our client, KBC Private Equity based in Brussels, Belgium, Holon successfully closed its next transaction in 2012.
ZIPP Skutery Sp. z o.o. is the strong no.2 marketer and distributor of scooters and mopeds in Poland, with a growing market share currently at 24%, as well as a nationwide dealership network of cca. 300 outlets. The transaction was concluded through the acquisition of 100% of the existing shares of the Company, by its management team. The financial terms of the transaction have not been disclosed.
As a result of this transaction, ZIPP is well placed to weather the challenging scooters and mopeds market environment in Poland and Europe, implement a restructuring programme, and exploit future opportunities by leveraging its distribution network as well as its sourcing and NPD capabilities.
Holon acted as exclusive adviser to KBC Private Equity in the divestment process, which included the conducting of an international tender process addressed to strategic and financial investors, the provision of strategic and restructuring advice, and management of the full transaction process.

ZIPP Skutery Sp. z o.o. (www.zipp.pl) is the no. 2 scooters, mopeds and bicycles marketer and distributor in Poland, with 24% volume market share and revenues of PLN 40,4 mln in 2012E. The company has a well –recognised brand especially in the mainstream scooters market segment.
The company was established in 2004 and holds a strong no. 2 market position in Poland, in scooters and mopeds sales. To complement the product offer, in 2010 the company launched a new product line called ‘Toros’, distributed in selected multiple retailers. The company also exports its vehicles and spare parts to various countries in Europe, and in 2011 diversified into bicycles (‘Limber’ brand).
ZIPP’s dealership network consists of 300 point-of-sales, including 30 franchised dealers. The company’s vehicles are also distributed by several hundred consumer electronics and FMCG multiple retailer outlets, located across Poland. In addition, ZIPP distributes parts and accessories for scooters, mopeds and bicycles nationwide, under its ‘Interscooters’ brand.
ZIPP has continuously designed and developed new models, in order to boost sales and gain competitive advantage through product differentiation. ZIPP sources its vehicles from selected producers in the Far East, to assure high quality and reliability whilst avoiding supplier concentration risk.
