Capital advisory to the management of EDICA S.A. in the process of management buyout (MBO).
Acting on behalf of our client, the management of EDICA S.A. – the largest publisher of business diaries and a leading book printer in Poland, Holon closed its next transaction in 2011, which is also one of the few successfully completed Management Buy-Outs to date in Poland.
The transaction concerned the acquisition of 100% of the shares of EDICA S.A. by the company’s management with financing facilities provided mainly by BRE Bank and a vendor loan. The amount of financing arranged by Holon exceeded PLN 45 m.
Thanks to this transaction, EDICA S.A. has a chance to fully exploit market opportunities and to utilize its modern and innovative production base, which underwent full restoration and expansion in recent years. EDICA is currently one of the best equipped and most modern printing houses in Europe. The completed investments enable the Company to increase the production of books and business diaries further, without any substantial new investments in the coming years.
Holon acted as the adviser to the management of EDICA S.A. in the investment process, which included the recommendation of the optimal financing instrument for the investment, business plan preparation, identification and selection of the finance provider and management of the full transaction process.

As the leading publisher of diaries, the company has one of the best equipped plants in this sector with a recently modernised production base.
EDICA S.A. has been operating in the typography market since 1989. The Company has developed a unique business model through a combination of two complementary activities: highly profitable but seasonal publishing of customized diaries in the B2B sector as well as printing and binding of top-end books and albums. Such a business model has enabled the company to became a market leader and to fully utilize its production base. As the result, EDICA is the most profitable player among both diary publishers and book printing shops in Poland.
To increase revenues EDICA has diversified its product portfolio through the production of books, as the majority of the machine park used in the production of diaries is used also for book printing during periods of lower business diaries production.
As the result of an investment plan implemented in recent years, EDICA S.A. currently has a modern and innovative production base. At present, EDICA is one of the best equipped and modern printing houses in Central Europe. The completed investments enable a further increase in the production of books and business diaries without any additional investments in coming years, and will strengthen the leading position of EDICA in the books and business diaries market.
