It is with pleasure that we inform you of the completion of the sale transaction of one of the leading producers of meat and distributors of frozen products, ŁAGROM Group. The subject of the transaction were three independent business entities: Meat Factory Łagrom Sp. z o.o. in Poniec (meat processing), Combined Coldstore in Gostyń (warehousing and logistics of frozen products for third-party customers) and Łagrom Distribution Sp. z o.o. (distribution of meat products, both own and from third parties). The investor was MRÓZ S.A. – one of the largest Polish capital groups in the agriprocessing sector in Poland.
The transaction pertains to the 100% acquisition of the share capital of all of the companies in the Łagrom Group. The value of the transaction has not been disclosed.
Holon played the role of transaction advisor to the owners and management of the Łagrom Group. The investor selection process carried out by Holon led to the undertaking of negotiations with two trade investors (of which one from the EU), as well as with a Polish management group supported by a financial institution. The negotiation process and final investor selection was a competitive one, that allowed the existing owner to realise the best available transaction terms.

Meat Factory Łagrom Sp. z o.o. – one of the leading Polish meat producers. The company was established 25 years ago and specialises in the purchase, slaughter and deboning of hogs. ZM Łagrom’s main clients include domestic and export distributors and processors of meat. The company’s sales revenue exceeds PLN 150M. Łagrom Distribution Sp. z o.o. provides logistical and distribution services to ZM Łagrom and to third parties in the meat products market.
Combined Clodstore in Gostyń - provides integrated services in the area of frozen products Logistics such as: storage, freezing, re-freezing, order completion, transport and additional services. The Coldstore covers a modern operating base including a warehouse with 22k pallets capacity. Currently the Coldstore serves over 60 customers – international groups as well as large Polish frozen fruit and vegetable, ice cream and dairy producers.

Mróz S.A. (www.mroz.pl) one of the leading agribusiness groups in Poland, serving an integrated value chain from grains production for animal feed for hogs through to the retail sale of meat products. The group includes commercial farms with an area of over 10k ha supplying over 100k hogs annually for slaughter and own processing. Ready products are sold in nationwide retail chains as well as own shops in the Wielkopolski region. Mróz S.A. books annual sales revenue of over PLN 250 M and EBITDA of over PLN 15 M.
